Terms of Sale

1. Parties and scope

These Terms of Sale ("Terms") govern the sale of the Lucid Offer diagnostic service ("the Service") by Lucide Consulting (SASU with share capital of €10,000), 128 rue La Boétie, 75008 Paris, France — RCS Paris 847 627 676 — EU VAT FR07847627676 ("the Seller"), to any buyer ("the Buyer") placing an order at www.lucidoffer.app.

The Service is intended for professionals (independent consultants, Fractional CxOs and similar) acting within their professional activity. By placing an order, the Buyer confirms that they are acting as a professional for purposes related to their business activity. Placing an order implies full and unreserved acceptance of these Terms.


2. The Service

Lucid Offer is a diagnostic of the Buyer's B2B advisory offer. Based on the materials and context the Buyer submits, the Service produces a PDF report containing a score (0–10) for each of seven pillars — Promise Clarity, Real Client Problem, Resolution Mechanism, Perceived Value vs. Perceived Effort, Proof and Credibility, Offer Structure, and Psychological Buying Barriers — together with a specific diagnosis per pillar, an overall verdict, and a prioritized action list.

The Service is an automated, one-off analysis. It is advisory in nature and does not constitute personalized commercial, legal, or financial advice, nor any guarantee of business results.


3. Buyer's submitted materials

The Buyer is responsible for the materials and information they submit and warrants that they hold the rights to submit them. The Buyer must not submit third-party confidential information without authorization.


4. Order

The Buyer submits their offer materials and context through the online questionnaire, then completes payment. The order is firm once payment is successfully confirmed.


5. Price

The price of one report is €97 excluding VAT (HT). VAT is added where applicable under the rules in force — in particular French VAT for buyers established in France, and intra-EU reverse charge for businesses providing a valid EU VAT number. The Service is a single purchase, with no subscription and no upsell.


6. Payment

Payment is made online at the time of order through our payment provider Stripe. The full price is due upon ordering. The Service is provided after payment has been confirmed.


7. Delivery

The report is delivered electronically, by email, in PDF format, normally within approximately ten (10) minutes of the Buyer validating the questionnaire. In the event of a technical issue, the Buyer is notified by email and the report is delivered within forty-eight (48) hours.


8. Right of withdrawal

The Service is supplied to professionals acting within their business activity; the statutory right of withdrawal under the French Consumer Code does not apply to such purchases.

In any event, because the Service consists of digital content supplied immediately, the Buyer, at the time of order, expressly requests immediate performance and acknowledges that any right of withdrawal that might otherwise apply is lost once the report has been delivered (Article L221-28 of the French Consumer Code). This consent is collected at checkout.


9. Satisfaction guarantee (14-day money-back)

Independently of the above, the Seller offers a voluntary satisfaction guarantee: within fourteen (14) days of delivery, the Buyer may request a full refund of the amount paid, with no questions asked, by writing to support@lucidoffer.app. The refund is issued promptly, normally the same day, to the original payment method. This guarantee is a contractual commitment of the Seller and is more favorable than the law requires.


10. Liability

The report is a decision-support tool. The Seller does not guarantee any commercial outcome resulting from its use. To the extent permitted by law, the Seller's total liability arising from the Service is limited to the amount paid by the Buyer (€97), excluding indirect or consequential damages. Nothing in these Terms excludes any liability that cannot be excluded by law.


11. Intellectual property

The report is provided for the Buyer's own professional use. The Seller retains all intellectual property rights in the Lucid Offer framework, methodology, scoring system, and software. The Buyer may use the report internally but may not resell, redistribute, or commercially exploit the diagnostic methodology.


12. Personal data

Personal data is processed as described in the Privacy Policy and the Cookie Policy, available at www.lucidoffer.app.


13. Force majeure

Neither party is liable for any failure to perform caused by events beyond its reasonable control.


14. Complaints

Any question or complaint may be addressed to support@lucidoffer.app.


15. Governing law and jurisdiction

These Terms are governed by French law. In the absence of an amicable resolution, the courts of Paris have jurisdiction.


16. Language

These Terms are provided in English and French. In case of discrepancy, the French version prevails.
